General Terms & Conditions
  1. Legally enforceable
    1. Mist is a financial and lifestyle services application, developed in Australia, that serves and supports students no matter where they are coming from or the destination they are going to.
    2. These terms and conditions (“Terms”) comprise a legal document between Mist Financial Pty Ltd [ACN 645 778 767] and our group of companies as may arise from time to time ('Mist', 'us', 'we', or 'our'), and you ('you', 'your', or 'Customer', or ‘User’ or ‘Student’) and govern your use of any of our services ('Services'), which includes the use of the mobile application, software, website and/or other products we offer.
    3. "Mist" refers to the company Mist Financial Pty Ltd, including without limitation thereby, its owners, directors, investors, employees or other related parties.
    4. If you become a Mist customer and/or an account holder with Mist, please keep a copy of this document and any other related documentation for future reference.
    5. The information in this document is subject to change.
    6. You should read the entire Terms and Conditions carefully before you use the Mist website, app, software and/or other products and services.
  2. Use of MIST Services
    1. You may use our Services only for lawful purposes.
    2. Mist may allow any person over 18 years of age to seek to open an account.
    3. Mist reserves the right to refuse services and/or opening an account for any person at its complete discretion and may choose not to provide any reason for this decision.
    4. The right to use Mist Services is personal to the User and is not transferable to any other person or entity.
    5. The User is responsible for all use of User's Account (under any screen name or password) and for ensuring that all use of User's Account complies fully with the provisions of this Document.
    6. You may not use our Services:
      1. in any way that breaches any applicable local, national, or international law or regulation, or causes Mist to breach any applicable law or regulation;
      2. in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
      3. for the purpose of harming or attempting to harm minors in any way;
      4. for anything that is abusive, harmful, or does not comply with professional and ethical content standards;
      5. for any unsolicited or unauthorised advertising, promotional material, or any other form of spam;
      6. to deal in harmful programs such as viruses, spyware, or similar computer code designed to adversely affect the operation of any computer software or hardware;
      7. in any way that would locally or internationally evade any applicable taxes or facilitate tax evasion; or
      8. for an unapproved purpose.
    7. To open an account with Mist, you must:
      1. Download and install the Mist app
      2. Register in the Mist app
      3. Complete appropriate KYC (Know Your Customer) and any other relevant identification procedures
      4. agree to be bound by these Terms and Conditions and the Terms and Conditions of our partners whose services we rely on to provide you the Service;
      5. provide us whatever information we reasonably request;
      6. successfully open accounts with our partners (as required).
    8. Customer Due Diligence
      1. Before we provide our Services to you and from time to time during our provision of Services to you, we may carry out customer due diligence checks on you, together with any parties involved in your transactions or use of the Services. You must provide us with complete, accurate, and up-to-date information at all times.
      2. You agree that we may make, directly or using a third party, any inquiries we believe are necessary to verify information you provide to us. Your personal information will be checked against third party records, to assess whether your personal information matches those records and to assist verify your identity for the purposes of the Anti-Money Laundering and Counter-Terrorism Act 2006. We may keep records of such customer due diligence checks in accordance with Applicable Law.
      3. If you disagree with having your personal information shared with third parties or your identity verified we may not be able to open an account for you. 
      4. You agree that you are authorised to provide us these details and you understand that it will be checked against third party records for this purpose.
    9. Anti-Bribery and Anti-Corruption
      1. Mist will provide you with general information (which may consist of or include material made available by a Government Agency) about the identification requirements set out in any Applicable Law, including the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) (AML/CTF Act). The AML/CTF Act and associated rules require us to satisfactorily identify any person who seeks to open an Account before that Account is opened.
      2. We may, at our sole discretion, decline to open an Account or accept any funds in relation to it if one or more of the proposed Account Holders, or any signatories to the proposed Account, do not meet our identification requirements. To apply for a Mist Account, you must be at least 18 years old and comply with any of our eligibility criteria communicated during the onboarding process.
      3. You acknowledge that we may delay, intercept, block, freeze or refuse any transaction or to make a payment if we believe on reasonable grounds that the transaction or making a payment may breach any Applicable Law in Australia or any other country, and we will not incur any liability to you or any third party (including consequential loss) as a result of such delay, interception, blocking, freeze or refusal.
      4. You warrant to us that:
        1. the payment of monies in accordance with any Instructions received by us will not breach any Applicable Law in Australia or any other country; and
        2. you will not initiate or effect any transaction that may breach any Applicable Law in Australia or any other country, and
        3. you indemnify us against any potential losses arising from any breach by you of the above warranties.
      5. You agree, at the opening of your Account and at any time during the life of your Account, to provide us with any documentation and information we reasonably request from time to time in order for us to undertake any actions to comply with any Applicable Law.
      6. You acknowledge that if we are unable to verify, it is at our discretion to block access to or suspend your Account or the opening or closing of your Account and any funds will not accrue interest or be disbursed until your identity has been verified.
    10. Limitation of Liability
      1. To the maximum extent permitted by law, in no event shall Mist, its related entities, third party providers nor any of their affiliates be liable for any direct and indirect loss, damage or expense, irrespective of the manner in which it occurs, which may be suffered due to your use of our Services and or the information contained on our website and application.
      2. This includes but is not limited to damages related to loss of profit, investment, goodwill, use, data or other intangible losses resulting from:
        1. the use or inability of the use of the Service;
        2. any products, data, information or services purchased or obtained or messages received or transactions entered into, through or from the Services;
        3. unauthorized access to or alteration of your transmission or data;
        4. the use, inability to use, unauthorized use, performance or non-performance of any third party account provider site, even if the provider has been advised previously of the possibility of such damages;
        5. errors, mistakes or inaccuracies of content; personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Services;
        6. any unauthorized access to or use of our servers and / or all personal information and / or financial information stored therein;
        7. any interruption or cessation or transmission to or from the Services;
        8. any bugs, viruses, trojan horses, or the like, which may be transmitted to or through our services by any third party;
        9. any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Services, whether based on warranty, contract, tort, or any other legal theory;
        10. any reliance on the completeness, accuracy, suitability or currency of the site or its content;
        11. any failure or delay of performance or in operation or transmission, computer virus or other harmful component, loss of data, communication line failure, unlawful third party conduct, or theft, destruction, alteration or unauthorised access to data;
        12. accessing any sites or servers maintained by other organisations through links on the platform;
        13. defamatory, threatening, offensive or unlawful conduct of third parties, or
        14. a breach by us of our Privacy Policy;
        15. or any other material relating to the Services.
      3. We understand that, in some jurisdictions, certain warranties, disclaimers and conditions cannot be legally excluded. If this is applicable in your jurisdiction, then, to the extent permitted by law, Mist limits its liability for any claims under any such warranties or conditions to either supplying the Services to you again, or the cost of supplying the Services to you again.
    11. Privacy
      1. You agree to provide true, accurate, current and complete information about yourself and your accounts maintained by Mist partners and you agree to not misrepresent your identity or your account information held with these partners.
      2. Any personal information collected by us will be dealt with in accordance with our Privacy Policy.
      3. You agree that we may collect and use technical data and related information, including but not limited to technical information about your smartphone and other hardware devices, and your systems and other application software, to facilitate the provision of software and other updates to the site.
      4. We do not sell your information to anyone.
    12. Warranties
      1. The Services are provided on an “as is” and “as available” basis.
      2. Customer Indemnity: To the extent permitted by law, you as the Customer agree to defend, indemnify and hold harmless Mist, its subsidiaries, partners, service providers, affiliates, contractors, officers, directors, employees and agents from and against any and all claims, liability, damages, losses, obligations, expenses (including but not limited to legal fees), costs or debt caused by or arising directly or indirectly from
  • your use of and access to the Services;     
  • your breach of any of these Terms and conditions;
  • your failure to comply with Applicable law;
  • your infringement, or infringement by any other user of your account, of any intellectual property or other right of anyone; or
  • any claim that your content caused damage to a third party.
  1. This defense and indemnification obligation will survive these General Term and Conditions and your use of the Services.
  2. Conduct     
    1. You are solely responsible for any use of the Services, the website, the App and other features or products of the Mist Platform, including the content of any data or transmissions it executes through the Mist Platform.
    2. You will use all reasonable endeavours to ensure that no unauthorised person will or could access the Mist Platform.
    3. Any material downloaded or otherwise obtained through the use of the Services is done at your own discretion and risk and you are solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
    4. You must only provide us with instructions and enter into transactions for your own benefit and you will not use your Account on behalf of third parties (unless agreed with us).
  3. Disclaimers
    1. To the extent permitted by law, Mist makes no warranties, guarantees or representations of any kind with respect to the Services, App and other products or features of the Platform. All warranties, conditions and terms, whether express or implied by statute, common law or otherwise (including any implied warranties of merchantability, satisfactory quality or fitness for a particular purpose or non-infringement of third party rights) given by Mist are excluded to the extent permitted by law.
    2. In particular, Mist:
  • does not make any commitments about the content or data within the Mist platform, the specific functions of the Services or its accuracy, reliability, availability or ability to meet the Customer's needs;
  • does not guarantee that the Services will operate uninterrupted or error-free, will always be available, contains and/or displays information that is current or up-to-date, will be free from bugs or viruses, or never be faulty;
  • may occasionally have to interrupt the Customer's use of the Services for operational, security or other reasonable reasons. In such a case, Mist will restore access as quickly as practicable; and
  • does not offer financial advice and the Customer must not treat any information or comments by Mist as financial advice.
  • Mist may suspend or remove access to the services at any time. We are not liable, for any reason, if the services are unavailable or any functionality of the site is restricted or impaired.
  1. Non-reliance     
    1. Mist may work with third parties, to provide the Services.
    2. If the Customer receives information from Mist regarding or marked or indicated as provided by such third parties, the Customer will not rely on such information and will not make any claims against such third parties or Mist in relation to such information.
  2. No Advice
    1. The Mist application has been prepared for general promotional purposes only and is not a recommendation to buy, or an offer or solicitation to sell, any financial product.
    2. The Mist application is intended to provide general information and must not be construed as general or specific investment or professional advice. No direct or implicit recommendations are given in the information on the site.
    3. The site has been prepared without taking into account the personal objectives, financial situation or needs of any particular person.
    4. We recommend you obtain financial advice specific to your situation before making an investment decision.
  3. Termination
    1. Either Mist or User may terminate this Document at any time. Without limiting the foregoing, Mist shall have the right to immediately terminate User's Account in the event of any conduct by User which Mist, in its sole discretion, considers to be unacceptable, or in the event of any breach by User of this Document.
  4. Intellectual Property
    1. All intellectual property rights vested in texts, images or any other content found on or related to the Website and/or App are owned by Mist.
    2. Users may not engage in transactions involving items that:
  • infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law, including but not limited to sales, distribution, or access to counterfeit software, or other licensed materials without the appropriate authorization from the rights holder;
  • use Mist intellectual property, name, or logo, including use of Mist trade or service marks, without express consent from Mist or in a manner that otherwise harms Mist or the Mist brand;
  • initiate or cause any action that implies an untrue endorsement by or affiliation with Mist.
  1. Mist may take any action available in law or equity to protect its intellectual property and to remedy any breach or potential breach of its rights, including by seeking an injunction to prevent a breach of its rights.
  2. Refunds & Cancellations
    1. Mist Financial Pty Ltd (“Mist”) may act as a referrer between you and service providers (e.g. telco companies, banks, cross-border payments providers, foreign exchange providers, etc.) and Institutions receiving funds (e.g. universities, colleges, telco providers, insurers, etc.)
    2. For Mist Services being Proof of Funds, and Mist Interest Account, see the section titled “Proof of Funds”.
    3. For Mist Services other than Proof of Funds, and Mist Interest Account:
      1. Mist is not providing any collection or payment service and does not hold or provide custody of fiat funds on behalf of customers. 
      2. If you believe a refund is due to you, such refund must be requested directly from the service provider (e.g. banks, financial institutions, foreign exchange service providers) or from the institution receiving the funds (e.g. universities, colleges, telco provider).
      3. If you are not satisfied with the decision of the Service Provider and/or Institution in relation to any refunds, should immediately contact the Service Provider and / or Institution and follow their appropriate complaints and dispute resolution procedure. 
    4. The above does not constitute financial or legal advice. Mist does not guarantee refunds, as it depends on the Service Provider or Institution's policy. Customers are advised to seek professional advice if needed.
  3. Terms and Conditions of Suppliers of Services through Mist
    1. Mist supplies services on behalf of partner companies.
    2. Where you are utilizing telco services through Mist, the terms and conditions from Xtreme Communications also apply to you and can be found here:

    5. Mist has no control and is not responsible for the content or privacy practices associated with linked sites and have no control over those linked sites.
  4. Mist Services including Proof of Funds, and Mist Interest Account
    1. Mist provides access to two investment options known as ‘Proof of Funds’, and “Mist Interest Account” within the Mist International Student & Migration Trust Fund (ARSN 679 968 819).
    2. The product summary and investment objectives of Proof of Funds and Mist Interest Account are described in the Product Disclosure Document (PDS) available at https://45180600.fs1.hubspotusercontent-na1.net/hubfs/45180600/Website%20Assets/pof-documents/20241017%20Mist%20International%20Student%20&%20Migration%20Trust%20Fund%20-%20Product%20Disclosure%20Statement.pdf.
    3. The funds will be held by an independent trust fund in Australia.
    4. Cache Investment Management Ltd (ACN 624 306 430, AFSL 514360) (Cache, Manager or Administrator) is the manager and administrator of the Fund. Mist Financial Pty Ltd (ACN 645 778 767) (Mist or Promoter) is the promoter of the Fund. 
    5. Quay Fund Services Ltd (ACN 616 465 671, AFSL 494886) is the trustee and responsible entity of the Fund and the issuer of units in the Fund. QFS is responsible for operating the Fund and the Fund’s compliance with the Fund’s constitution Corporations Act and other relevant laws.
    6. The Trustee and Manager are related bodies corporate. Your investment in the Fund is governed by the Product Disclosure Statement that is in force from time to time and other laws with which the Trustee must comply. 
    7. The Fund is a managed investment scheme registered with ASIC, structured as a multi-class unit trust. Units in the Fund are issued by the Trustee. The terms of issue of the units are governed primarily by the terms and conditions contained in the PDS, any subsequent supplementary PDS (that may be issued by the Trustee from time to time) and the Fund’s constitution (Constitution) Constitution. The Fund offers several investment options which may have different investment strategies, target returns and risk profiles. 
    8. In order to utilize Mist’s Proof of Funds service, you will need to confirm in the Mist App that you have read and understood the following documents:

      3. Financial Services Guide
      4. Mist Terms and Conditions (this document)
      5. Privacy Policy
    9. All information is general information only and does not consider your personal circumstances, financial situation or needs. Before making a financial decision, you should read the above documents and consider whether the product is right for you and whether you should obtain advice from a professional adviser. All investments carry risk.
    10.   5. Specific Terms and Conditions related to Client Monies held by Mist
    1. Mist offers services that provide you functionality to send money from your home country to Australia for the purposes described above.
    2. These services are governed by laws that include those described in the section above titled “Anti-Bribery and Anti-Corruption”, as described in the sections above.
    3. Mist and you have legal obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) (AML/CTF Act).
    4. Mist has strict processes of identification verification in place to be sure that you are a genuine student wishing to study in Australia and that your identification credentials are valid.
    5. If for any reason, including but not limited to failure of any of these verification processes, or incorrect, inconsistent or incomplete information being provided through the Mist app, or mismatches in amounts stated versus amounts received, or any other cases where Mist deems that there may be a legal risk in dealing with you, any monies received from you will be returned, less any costs that Mist incurs, to the same bank account that Mist received the monies from. At Mist’s discretion, your account with Mist may be cancelled and you may be barred from dealing with Mist in the future.
    6. Any monies transferred from you to Mist via SWIFT payments or via international foreign exchange service providers such as our partner ‘Pay2Remit’ will be held temporarily (typically less than 1 business day) in a segregated Client Monies bank account held at NAB (National Australia Bank). 
    7. Usually upon receipt of the money and completion of verification checks, your money will be transferred to the relevant destination either during Australian office hours, or if your money is received outside of Australian office hours, the money will be transferred to the relevant destination the following day. There are risks that payments do not occur as expected and that money is retained in the Client Monies bank account or returned to you to the source of fund. 
    8. You authorize Mist, if required, to make the relevant transfers of money on your behalf.
    9. Any instructions from you to Mist must:
      1. be given to us through our mobile app or in writing;
      2. are subject to the Rules and this Document;
    10. You authorise us to act on any Instructions we genuinely believe are given by you in accordance with this Document.
    11. Mist is entitled to assume that any instructions given via the Mist app using your account details are from you. You are bound by any such instructions.
    12. Any money that is held awaiting your instructions on an overnight basis or longer as the case may be, will be held in a segregated Client Monies bank account held at NAB (National Australia Bank).
    13. Monies held in the segregated Client Monies bank account at NAB (National Australia Bank) cannot be used by Mist for its own business operations.
    14. Mist does not hold any ‘Client Money’ as per- Subdivision A of Division 2 of Part 7.8 of the Corporations Act applies, on terms contemplated under section 981A of the Corporations Act on behalf of its clients.
    15. Mist reserves the right to limit who your money will be paid to and may include only the following:
      1. Cache Investment Management Ltd (ACN 624 306 430, AFSL 514360) or Quay Fund Services Ltd (ACN 616 465 671, AFSL 494886) for the purposes of managing your funds in Australia
      2. Your bank account in your home country from which the money was sent to Mist
      3. Your bank account in Australia provided you can provide sufficient evidence that this bank account is yours
    16. You will not receive any interest or returns on money held by Mist. 
    17. Delays may incur in the movement of your money for any reason. Mist will apply commercially reasonable endeavors to transfer your money as quickly as practicable but provides no guarantee, explicitly or implicitly, in this regard. 
    18. We will not be responsible for any losses you may incur as a result of any delay or error in the transmission or execution of your Instructions, and you acknowledge that international time differences and timing of public holidays or other similar observances may lead to delays in receipt of Instructions and execution by us and our integration partners.
    19. You will indemnify us against all loss, expense or any other liability in relation to the execution of your Instructions, except to the extent resulting from or caused by our gross negligence, fraud or dishonesty.
    20. You acknowledge that if you initiate a chargeback of any kind initiated by you or fail to clear funds deposited that we have the right to suspend your account and recoup any losses incurred by Mist or its partners.
    21. You acknowledge that Mist has the right to claim any reasonable expenses and cost (legal or otherwise) in relation to resolving any claim against you or us (by you), whether resolved or not. In relation to this clause, you acknowledge that if a judgement is made against you in relation to such costs and expenses, you will be liable for those costs and expenses incurred by us.
    22. You authorise Mist and its partners to receive a commission, in any form, from any of its partners in relation to the services supplied to you.
    23. Mist does not guarantee the performance of any of its products.
    24. Mist is not a Registered Tax Agent and recommends that you obtain professional financial, legal and taxation advice before making any financial investment decision.
    25. As part of services from Mist, we will not provide you with personal financial product advice. If we provide you with general financial product advice, that advice has been prepared without considering your personal information and does not take into account your specific needs or objectives.
    26. You are responsible for any investment or trading decisions made by you with respect to your account and we will not be responsible for determining the suitability, appropriateness or advisability of your instructions, any transaction or currency conversion.
    27. By using these services from Mist, you agree and acknowledge that Mist has the appropriate instructions and approvals to process your payments between our payments and banking providers for the necessary functioning of our app or service.
  6. Modification to Terms and Conditions
    1. Mist reserves the right to update, change or modify the Terms at any time without notice to User. The most current version of the Terms can be reviewed by clicking on the “General Terms & Conditions” hypertext link located at the bottom of our Web pages.
    2. Such changes, modifications, additions or deletions shall be effective immediately upon notice thereof on our website and/or app, which may be given by means including, but not limited to, posting on Mist Products, or by electronic or conventional mail, or by any other means by which User obtains notice thereof.
  7. Force Majeure
    1. If Mist is unable to perform the Services outlined in the Terms due to factors beyond our control including but not limited to an event of Force Majeure, change of law or change in sanctions policy we will not have any liability to You with respect to the Services provided under this agreement and for a time period coincident with the event.
  8. Jurisdiction and governing law
    1. The use of the Services and these Terms are governed by the law of New South Wales, Australia and you submit to the non-exclusive jurisdiction of the courts exercising jurisdiction in New South Wales, Australia.
  9. Unenforceable terms

If any of these terms are found by a court to be invalid or unenforceable, the invalidity or unenforceability will not affect the remaining terms.

What am I investing in? 

The Fund is a managed investment scheme registered with ASIC, structured as a multiclass unit trust. Units in the Fund are issued by the Trustee. 

How does Mist Proof of Funds work?
The fund is an audited investment fund managed by an independent trustee. That allows you to contribute the required funds to show your financial capacity to support your Visa application.

How old do I have to be to open a Mist account?

You have to be 18 years or older to open a Mist account.

Is my privacy protected?
Mist complies with the Privacy Act 1998 and takes great care in dealing with the personal information of our customers. You can read more about our Privacy Policy here.

What details do I need to get started with Mist ?
You will need to provide us with some basic personal information and proof of identification (passport and government ID).

Who is the responsible entity?
Quay Fund Services Ltd, (ACN 616 465 671, AFSL 494886)

Why do my details need to be verified by Mist ?
In order to confirm you are who you say you are, we may require additional ID verification, such as your passport or national / government issued ID.

As is compulsory for any financial institution, Mist needs to satisfy its obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (AML/CTF Act 2006). This requires Mist to verify specific information provided to us about a customer’s identity. 

Why was my application rejected?
Your account will be rejected if you’re a Politically Exposed Person or do not meet our eligibility criteria or if we were not able to verify your identity.

Who is behind Mist?

  • Mist is Mist Financial Pty Ltd, ACN 645 778 767, (AFS Representative Number: 001311275) of Cache Investment Management Ltd (ACN 624 306 430 and AFSL 514 360), the Manager and Administrator of the Fund

 

Where is my Proof Funds held?

Your funds are held in an Australian registered investment fund. The Mist International Student & Migration Trust Fund is an audited investment fund managed by an independent trustee, underpinned by a licenced Australian custodian bank, established by deed poll as an Australian trust, registered with ASIC (Australian Securities and Investments Commission) under Chapter 5C of the Corporations Act 2001, and full in compliance with AFSL (Australian Finance Services Licence) regulations in Australia. 

 

All funds contributed to the product will be held in low-risk assets (government bonds, cash or cash-equivalent assets).

Yes, we take information security seriously. We have strict account protection policies, for example, ID verification, forced log-outs and multi-factor authentication to help ensure only you can access your account.  We use encryption protocols to ensure your information is protected from criminal activity.

 

What makes Mist a good choice for Proof of Funds?
Proof of Funds is a critical requirement for International Students wanting to study in Australia. That is why you can keep your funds with Mist and we can provide a statement of financial assurance for your Visa application. 

Proving that you have the required minimum funds to qualify for an Australian Student Visa can be challenging, but with Mist's Proof of Funds, the process becomes easier.

How do I withdraw my funds?

In the Mist app, you should see a "Withdraw" button. When your lock in period has expired, you can withdraw funds and these will be transferred back to the bank account linked.

 

How do I ensure my Mist app is secure?

We recommend two main ways to ensure your Mist app stays secure:

  • Log out after every time you login to the web, iOS or Android app. We will also automatically log you out after long periods of inactivity.
  • Choose a strong password that would be difficult to guess. Store this password in a safe location.

 

Does Mist charge fees?

 Mist does not charge you monthly subscription fees. We may however receive fees from the fund out of any returns it generates. For more information regarding Mist fee's, please read the PDS for the proof of funds offering
